1. Definitions

• "TagadaPay," "we," "us," "our" refer to TagadaPay LLC.
• "You," "your," or "User" refers to any individual or business entity using our Services.

2. Our Services

TagadaPay offers a checkout optimization and payment processing platform, with features that may evolve or expand over time.

3. Account Registration

• You must be at least 18 years old (or the age of legal majority in your jurisdiction) to register.
• You agree to provide accurate, up-to-date information during registration.
• You're responsible for keeping your login credentials secure and for any activity under your account.
• Notify us immediately if you suspect unauthorized access to your account.

4. Fees, Billing & Payments

• Use of our Services may incur subscription, transaction, or platform fees as outlined in your selected plan.
• You must provide valid, current payment information. We may charge your card for recurring fees.
• You are responsible for any applicable taxes.
• Failure to pay may result in suspension after 15 days, and termination after 60 days. We may apply late fees, chargeback or return check fees, and collection costs.

5. Communications & Consent

• By providing your email or phone number, you consent to receive service-related and promotional communications.
• You may opt out of promotional messages, but operational messages (e.g., billing, account notices) are required.
• Standard message/data rates may apply from your carrier.

6. Acceptable Use

You agree to use the Services lawfully and in compliance with all platform policies. Prohibited uses include, but are not limited to:

• Fraudulent or deceptive activities
• Data scraping or unauthorized access
• Intellectual property infringement
• Circumventing platform controls

We reserve the right to suspend or terminate access for violations, without prior notice or liability.

• You retain ownership of your content (e.g., product data, designs, customer information).
• You grant us a non-exclusive, royalty-free license to use your content as needed to deliver our Services.
• All rights to TagadaPay's software, trademarks, website, and documentation remain with us. You may not copy, alter, or distribute them without our consent.

• Our handling of personal data is governed by our Privacy Policy.
• While we use industry-standard security practices, we cannot guarantee complete protection of your data.

• You agree to indemnify TagadaPay against any claims arising from your breach of these Terms or infringement of third-party rights.
• Services are provided "as is," with no warranties. To the extent allowed by law, we are not liable for indirect, consequential, or special damages, including loss of profits or data.

11. Changes to Services or Terms

We reserve the right to update, modify, or discontinue any part of the Services or these Terms at any time. We'll notify you of material changes via email or platform alerts. Continued use indicates your acceptance of those changes.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the United States. Any disputes must be resolved in the courts located in Texas, which will have exclusive jurisdiction.

13. Non-Compete & Assignment

• You may not transfer or assign your rights under these Terms without our written approval.
• During your use of the Services, and for 12 to 24 months afterward, you agree not to build or offer a competing checkout or funnel technology. "Competing" refers to platforms similar to ours in function, particularly CRM, campaign, or checkout/funnel systems.

14. Billing Disputes, Cancellations & Refunds

• Contact us first to resolve billing disputes. Unauthorized chargebacks may result in penalties.
• All service fees are non-refundable and not prorated.
• To cancel your subscription, you must submit a written request (e.g., email) and receive confirmation from our support team.
